But that argument goes to place in question the entire relationship between the so-called "independent" board of directors and management. These guys are not supposed to be a good 'ol boys club of inter-locking directorships, no-fault golden parachutes, and pay-offs if-you-fail raiding of the corporate til. A corporation isn't their personal playground and if the CEO is so unprofessional and arrogant as to put himself in jeopardy of being in default of his margin requirements, then boot his ass out and let him declare personal bankruptcy.

The problem with the way American enterprise has evolved is that investors rights have been castrated through just this type of cozy relationship and financial maneuverings such as poison pill protections.

I'd rather see the board struggle with finding a new CEO than bail the guy out of his self-inflicted pain. It's damn well past due time for corporations and boards to clean up their flim-flam scam way of operation and get down to cold hard business. Kick all the bums out!!!
