I don't think the "lessened" constraints can be found written anywhere. Its more within the weakened personal moral and ethical obligations that a board member owes to his fiduciary duties. Fiduciary duties don't mean shit to someone or class of people who have lost their way morally and ethically because their eyes have been glossed over by $'s and incentives thrown at themselves.
