During the analyst meeting last month, CPQ delivered the roadmap of it's business plan as a stand alone company going forward. All the work that took place over the last 12 months to get their cost structure in line for the future was laid out in very convincing detail. If I had Powerpoint I could download the presentation slides from the webcast which would show how effective this reorganization has been for the company. Based on the presentaion I watched, any modest growth in any of the divisions over and above what their conservative projections indicate, earnings would grow significantly. As I stated before, for each $500 million increase in total sales, over their current projections, would generate .08/share to the bottom line. Each presentaion slide broke out by division what an increase in volume by division would generate in additional profits. If you took HWP's sales by division and applied it to CPQ's cost structure, the results would be mind boggling. I bet you all the tea in China, that not many people watched or paid much attention to this webcast. In MC's mind, gaining access to HWP's customer base was his reason for going along with the merger. He never envisioned that HWP's BOD & management team would be so screwed up to generate all this controversy. Like I said, CF must have done one hell of a job in pulling the wool over MC's and the BoD's eyes. It's one thing to integrate two large companies, but to change a much older organization's mindset, that will be the greatest task. Why do you think it is estimated to take 18-24 months to fully integrate these to companies, because the cultures are so different. Reminds me of CPQ/DEC all over again. I for one don't want to wait another 2 years to see the results materialize. CPQ is capable of showing those results NOW if they would just keep their focus on their objective in regaining market share and executing the plan that is in place.

I for one will vote NO and encourage all of you to do the same.

CPQ Long
