I doubt there was any plan by the legal dept. Besides, the head of research compliance (who also happens to be a lawyer) seemed disturbed about the downgrade in the NY AG's affidavit.

In the haste to put out a response, I think ML may have unintentionally backed itself into a corner by defending the GoTo downgrade as the right call. If it was so right, why was ML trying so hard to get the underwriting business for a stock it felt should be downgraded?
