I thought they had to get more than half the shares outstanding (as opposed to more than half the shares voted). Yahoo!'s profile of HWP shows 1.94B shares outstanding (1.65B float).

It sounds to me like it might still depend on the lawsuit (assuming the float is the salient number) or failed (based on shares outstanding).
