Janice Shell in another "Tussle"? Jeff, aznt story is amazing because of the massive fraud that was involved. Further amazing that Marvin is implying that the stock price went down and axnt was delisted because of internet posters.

SECURITIES AND EXCHANGE COMMISSION v AMAZON NATURAL TREASURES, INC. MICHAEL A. SYLVER AND DOMINGOS LORICCHIO JR., Civ. No. CVS-01-0229 (D. Nev.)
The Commission announced today that it filed a federal court action for securities fraud against Amazon Natural Treasures, Inc., a Las Vegas-based dietary supplement company, its president, Michael Sylver, and one of its former officers, Domingos Loricchio Jr. The complaint alleges that, from at least 1997 through March 2000, Amazon made numerous false and misleading statements and omissions in public filings with the Commission, press releases, its Internet web site, and other documents disseminated to the public. The statements and omissions broadly fall into four categories: (1) overstatement of sales revenue for the year ended December 31, 1998; (2) undisclosed cash and stock given to Sylver by Amazon; (3) baseless and unreasonable revenue projections and other financial information; and (4) false and misleading claims about the benefits and safety of Amazon's products. The Complaint also alleges that Amazon unlawfully sold millions of shares of unregistered, non-exempt stock and violated laws requiring that the company create and maintain adequate books and records and internal controls and file timely periodic reports with the Commission.
The Commission's action, filed in the U.S. District Court in Las Vegas, Nevada, seeks a permanent injunction against Amazon for violating Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933 ("Securities Act") and Sections 10(b), 13(a), 13(b)(2)(A) and (B) of the Securities Exchange Act of 1934 ("Exchange Act") and Rules 10b-5, 12b-20, 12b-25, 13a-1, 13a-13, and 13b2-1 thereunder. Against Sylver, the Commission seeks an order of permanent injunction, disgorgement (including prejudgment interest), civil money penalties, and an officer and director bar for violations of Sections 5(a), 5(c) and 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rules 10b-5 and 13b2-2 thereunder, and for aiding and abetting Amazon's violations of Section 13(a) and 13(b)(2)(A) and (B) of the Exchange Act and Rules 12b-20, 12b-25, 13a-1, 13a-13, and 13b2-1 thereunder. Finally, the Commission seeks a permanent injunction and civil penalties against Loricchio Jr. for violations of Section 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rule 10b-5 thereunder, and for aiding and abetting Amazon's violations of Section 13(a) of the Exchange Act and Rules 12b-20, 12b-25, 13a-1 and 13a-13 thereunder.

For a period of time, the stock of AZNT was touted by various unknown persons on the Raging Bull message board and the price rose.

Unknown persons? Huh? Unknown to who? ROFLMAO........

It's amazing to me what people will put in a lawsuit without knowing all of the facts or without even checking the facts. Simply amazing.

There are many other "amazing" statements in this document, but no reason for me to point that out for plaintiff's counsel. ;^)

Just thought I'd pass along the latest addiction from over on RB, thanks to Scion and Janice Shell. It's the 400+ pages of testimony given by AZNT's CEO Michael Sylver to the SEC back in 1999. Here's a sample:

Q. Okay, turn to page Bate stamped 15.

A. Okay.

Q. The third paragraph down.

A. Okay.

Q. The last sentence says;

“Due to our research”. . . “we have proven that phytogenic supplements which have absolutely no side effects whatsoever.”

What tests have been done —

A. This was written by Dr. Loricchio.

Q. Do you know what tests Dr. Loricchio did to confirm that phytogenic supplements have absolutely no side effects whatsoever?

A. He did hundreds of tests of 35 years. And so did everybody else and it all in those clinical studies.

Q. Are you referring –-

A. There are more books written on phytogenic and phytotherapy and homeopathic than there are books here in this room.

Q. Okay. So you are referring to the clinical studies exhibit that you produced to us and we’ve earlier discussed --

A. Right, and plus there’s so much more. There are thousands and thousands of books and periodicals and letters. Even things written in the New England Journal of Medicine about herbal-- - herbs and et cetera, et cetera.

Q. Are you testifying today that every single product that Amazon sells has been tested by outside independent parties to determine whether they have side effects?

A. No.

Q. Okay

A. I’m determined that Dr. Loricchio through his research and I don’t know if he’s used other research is, do not have side effects.

Q. So you don’t know whether Dr. Loricchio has done other research? I’m sorry, what research do you know --

A. Dr. Loricchio said they have no side effects. He has done research; he has volumes.

Q. Okay, and that’s—

A. And that’s, that’s good enough for anybody in the world, any doctor. Anybody. The Chief Surgeon General of the United States.

Q. Okay.

A. If Dr. Lorrichio says anything to any doctor, any scientist in the world, that his word is like the word of God.

Q. Okay, and it’s enough for you, that Dr. Loricchio --

A. It’s enough for anybody. It’s enough for anybody whatsoever..

Q. Okay.

A. This man is so brilliant.

Q. All right, let me restate the question.

A. Okay.

Q. It’s enough for you that Dr. Loricchio said that Amazon’s phytogenic supplements have absolutely no side effects whatsoever.

A. That is correct.

Q. All right, thank you.

A. If the Pope said that this water is blessed would you get research on it or would you believe the Pope? You’d believe the Pope, correct? That’s what I’m just saying, okay.

Q. The rules of the game are l get to ask the question.

A. I know, but --

Q. You have to sit there and wait until I ask you a question.

A. Oh, but --

Q. I’m sorry Mr. Sylver, but those are the rules of the game.

A. Okay. Who wrote the rules, need to change them.
