A useful distinction, thanks. I would think that the employee has 'constructive possession" of the option once it vests. The employee would have "constructive possession" of the equity once the option is exercised. I wonder if using vesting would not be a better way of expensing the options as well. It really is not an option until the vesting date and the employee is free and clear to excercize.
