or they will lose their best people.

To who, World com, @Home, Mindspring....

Options should be DISCLOSED not expensed.

Options should be based on performance that can be measured.

They should be structured to encourage longevity and performance, and whether "cliff vesting" (100% after 5 years) or yearly percentage vesting is used is not particularly important.

And in fact if the stock grants are egregious over even too generous, and/or granted and exercisable based on stock price, they will often have the reverse effect. Independent wealth, makes a person just that, independent. And business decisions should be made for the good of the company not the good of the stock and there are many times when these interests conflict.

re: Intel needs to stay competitive [with massive comp packages for top guys] or they will lose their best people.

Yup. I think that is about verbatim from the comp. committee at Sunbeam to push through chain saw Al Dunlop's deal to turn around Sunbeam. He sure did ...right into BK.
Of course that is not where INTC is headed. But these comp committees who cry wolf are getting real old. Given their age and the IP protections in place, at the likes of INTC especially, ya really figure any of the top 5 are going off to start a new biz. or take over at AMD or NVDA if they don't get these GIANT option deals over and over again? Wake up, Bud. What would have happened if some had left years ago? the stock would have dropped 80% in value? Whoops already did thanks to a ton of misplaced buyouts.
just imho.
