K-Mart was killed by mistakes they made in the early 80's. They did not invest in technology or update their stores. Their management was slack. Their training was and still is the worst I've ever seen. The morale of the employees was bad. The buyers were crooked and on the take. They played musical chairs with buyers. It was a corrupt organization from top to bottom for years.

Walmart is one of the most ethical companies there is when it comes to purchasing. It is one of the many reasons for their continued success. It all starts at the top. Most of the retailers that have a corrupt organization eventually crumble. The ones that are straight tend to thrive.
