those payments are for passed performance. they have nothing to do with his position of vp... same as you getting a pension or sweat heart deal when you leave a company,, severance , early retirement.. He may have had a few options.. Take it all in lump sum, roll it over to ira, or take deferred payments...

to me this is more of tax situation and nothing to do with H. come on move onto to something with substance.
