I don't know what there is from their 2003 grants that didn't get exchanged and will still be unvested by June 2005. So potentially my estimate is low.

I remember to have seen a table of AMDs ESOP-structure in terms of strike prices (somewhere in the enclosures for the terms of the exchange program?). As well I believe to remember some 75% of eligible options participated in the exchange program.

And I believe to remember the options eligible for exchange were a majority of all options. Most of those not eligible have lower strikes. These would have a higher fair value when expensed, right?

In essence, it would give a low eight digit figure for the potential impact per quarter.

However, the question is imminent for the q&a later today anyway - not sure if Bob likes to answer it though; I probably wouldn't for the gut feeling below in p.p.s..

p.s: There is a shareholder's proposal on the agenda of AMDs upcoming stockholders meeting as well, although pretty irrelevant imo - it won't pass anyway. I did not find anything on accelerated vesting in the agenda. If Bob would plan anything thisrespectively, he probably would have set it onto the agenda.

p.p.s: I am still reluctant to look at options expensing to be sure thing to come by midyear - insofar I won't adjust the model before it is actually in force. Just a gut feeling, although supported by many consideration, taxes being one of these.
