Are you saying the SEC FAQ on Reg D I cited was incorrect about the need to file a Form D regardless of whether the securities themselves are registered? Are you saying the SEC does not have to approve a Form D?

As to whether I think this sort of "approval" is what PLNI had in mind, the answer is "possible, yes... probable, no." I'm running out of different ways to say the same thing so this explanation will have to do. If you want to reply "only the company knows for sure", I already said that as well.
