The laws may need to be changed, but shareholders need to request or demand the establishment of an Equity Committee as soon as it is obvious there is a ripoff in process.

I think Congress needs to make this automatic in some way by requiring a debtor or the Court to affirmatively take responsibility that the equity holders have no obvious value and are likely to be wiped out, or that it is unclear, or there should be consequences.

Polaroid was a ripoff giving excessive equity to Bank One. Zenith was another, discussed at length here on SI, given to LG if I recall correctly, and valuing the patents on HDTV and more as if they were $0.

The question Why are the lenders loaning money to this entity? is a key question. When in doubt, shareholders should not be wiped out but get warrants if the company turns right around and goes public again.

The letters are long and I do not know when I will get to them.

I have no SGI or SGID, and no MIPS either.
