My point is, with the dilution management will not really have a say in any takeover bid. If a Company today makes a public offer of $4 per share it will force a shareholder vote. Management would have to either convince shareholders the stock is worth more or go find a better offer. As most shareholders today have the stock at less than $4 cost that is a tall order. Management has zero control over the majority of shares.
