although abu (left hand) may have given amd 50% voting rights abu (right hand) now has nearly 20% of amd as well. by my accounting that means abu (both hands) has another 10% control.

interesting arrangement that i'm sure intel has noticed...

Looking again I'm not so sure now, could be one for the lawyers to decide exactly what 'control' of assets means in (a). Both (a) and (b) must be satisfied. I don't see it being a big deal changing the ownership ratio to 50/50 if required to meet this criteria as you only have to satisfy it at the beginning of setting the subsidiary up :- "originally contributed". I don't see a showstopper here really as further equity dilution could follow as required.
