IMO what you describe is part of the climate created by the deregulation mania, wherein company executives got the feeling they were not being watched as carefully amidst the everpresent cries of "Deregulate, Deregulate".

Research has shown that sociopaths and even psychopaths tend to be very successful at rising up the corporate ladder -- this is not the same as saying all executives are sociopaths or psychopaths! -- and these are the very type of people most likely to take this kind of encouragement and seek out ways to exploit it without regard for consequences.

It is quite difficult to enforce regulation, when the culture is against any regulation. The system is being gamed by the money class. David Cay Johnson has written about it in Perfectly Legal.
