Some assclown CEO of a rinky dink search engine company cold calls you and all of a sudden you have some kind of fiduciary obligation? Yes, I suspect you do. The same applies if you come by insider information by any other means as well. Suppose some CEO is yakking on his cell phone and you over hear the conversation. Same thing. Or perhaps you find a piece of partially shredded paper blowing down the street with some very useful information on it. You might not have intentionally put yourself in that situation, but once it happens, tough luck. The degree to which the SEC can prove anything is of course another matter. If they saw that you put 100% of your portfolio into a very profitable trade just before it happened, and there was no other general market anticipation of the event, then you might well have to explain why you did it.
