It's because the board is composed of CEOs of other corporations. It's a club. They all set each other's compensation and construct each other's golden parachutes as they laugh at the dumbass shareholders who don't have a clue.

How many shareholder voting forms have you gotten where you had NO IDEA of who the clowns were, what their positions were, or what they did? Most people just vote "yes" to whatever is recommended.

What's failed capitalism is the concept of the Board of Directors. They were supposed to oversee and monitor the CEO and upper mgmt. Instead, they are in mgmt's hip pocket.

Yeah and the markets have become such a short term game, instead of long term investments. Shareholders get a share (no pun intended) of the blame.
