Just to support our believe of a good Dec qtr, here is some highlights of the recent analysts' comment:

12:44pm EDT 7-Oct-97 Hambrecht & Quist (Robert C. Chaplinsky, (415) 439-34)

Shift in product mix provides an opportunity for margin expansion... Bookings for SRAM product
have been solid during the September quarter from the networking segment. Alliance continues to build a backlog position for its relatively higher margin graphics memory (SGRAM) product. We believe that
SGRAM will comprise perhaps as high as 10% of revenue in the December quarter.

The profitability of the USC joint venture fab could potentially increase as DRAM production is reduced in favor of higher margin logic wafer business re-allocated from the damaged UICC fab.

10:02am EDT 15-Oct-97 Needham & Co. (Sandy Harrison 212-371-8300) ALSC

While visibility remains limited with turns business in the December quarter
expected to be between 60-70% of revenues, the Company's book to bill was
above unity for the September quarter, improving backlog and giving the
indication visibility could improve during the December quarter.

08:14am EDT 15-Oct-97 Hambrecht & Quist (Robert C. Chaplinsky, (415) 439-34)

...and Alliance will focus on shifting its product mix to higher value-added
product. Alliance expects its mix of DRAM sales to reduce dramatically during the December quarter to 40% of total sales, with SRAM and SGRAM ramping to over 50% of overall revenues. If Alliance
executes on this strategy, it should provide the company an opportunity for margin expansion
