Aloha Reuben et all, At first I didn't see much point in providing our share count to SLY where the shorts are concerned, however the following posts have expanded my thinking and if nothing else, as a group (team) it is beginning to make more sense (I.e., As shareholders, it will help us control our own destiny in several ways!) READ ON: (The following are portions of posts from SH and includes the recent share count from SLY that has already been posted, but makes this post comprehensive regarding the subject at hand.) >>>>>>>>>>>><<<<<<<<<<<<<< The following URL relates to "shorting the shorts" if interested.microcapstocks.com >>>>>>>>>>>>>>>><<<<<<<<<<<<<<< From: SLY JOT Count Update... 11/2/97 07:51 The Update as of 10:00 am Nov.02,1997 is 4,139,230. I have now received the numbers from most of the "regulars" but not all. Also none of the newsletters have cooperated. I will not e-mail them as I know they read these forums and are aware of the count that is ongoing. This is a ground up movement started by the people for the people. I'll give them some more time to see if they support us or not. I know a lot of you are interested in knowing which of the Newsletters submitts their numbers. Like everyone else, no individual numbers are going to be released and any information submitted will be kept confidential. I will however, make mention of the newletter that provides their support if any do. As I stated as of now none have. The StockPage made reference to Jot's fully diluted number of shares being 33.6 million. I confirmed this on Friday. They also mentioned that shares outstanding were 20.7, the figure I obtained was 23 million. The insiders own 50%+ of fully diluted shares.ie.(16.8million) Assuming 23 million is the correct figure of outstanding shares that would signify that they only hold approx. 6 million of the outstanding shares and 10 million that still have to exercised. I would assume that would mean they in fact only have 6 million votes vs 16 million. With just over 4 million presently, we(the internet investors) have almost as many votes as the insiders. Something to remember, when you call JOT's offices and feel like you are given the brush off or cold shoulder treatment. I thought I would mention this just to make everyone aware of the shere magnitude of our numbers. The numbers still continue to come in and I will continue the count as it has been ongoing only for a few days now. Again I'd appreciate it if someone can pass this message to SI. Waynew and Fulvio..thanx for posting the previous posts at SI. Sly >>>>>>>>>>>>>>>>>>>>><<<<<<<<<<<<<<<<< From SMITTY To: SLY, Thanks, your doing a great job. Remember that we are much more powerful as a group than as individuals. I would like to propose that we all abide by a morretorium(sp?) to not sell one single share of JOT for the month of November or until Jot gets over $4.00. If we can drive the price up by not selling then it will make it easier for JOT to get off the VSE and then we will attract the serious institutional ivestor. This would be nothing but good for all Jotters. I know this sounds unrealistic as every person has their own unique set of circumstances, but if we can all try to keep the idea of not selling as a major part of our strategy than maybe we can really accomplish something by using our clout as a group that holds over 4 million shares. Maybe its a little utopian but then again I dream of JOT hitting $20 bucks everyday. >>>>>>>>>>>>>>>>>>>><<<<<<<<<<<<<<<<<< From: Stock Fox To: Sly - Share Count In regards to the rumoured takeover of JOT, it is now clear why Lotus (or any other potential suitor) cannot make it happen. Without the support of the insiders, who control 50%+ after dilution, any takeover bid would be very difficult. Factor in our (approximate) 25% of the outstanding shares, and think about it. Acquiring the required 20% block would not be easy. Unless Canaccord (through the Multiple Opportunities Fund) or another institution decides to screw us, any hostile takeover would be so tough I doubt it would be worth it. Barring unforeseen developments, I would say that Sideware should remain an independent little company for some time to come. >>>>>>>>>>>>>>>>>>>>><<<<<<<<<<<<<<<< From: SLY To: StockFox... Thanx for the insights..another example of how these figures can be used for constructive analysis... the stock count will enable us to discuss endless subjects from the shorting situation, takeover possbilities, Annual Shareholders meeting and Director elections, "Newsletter"Support, etc etc. Sly THAT RATHER WELL RAPS IT UP!! Please pass your share count to SLY at: SLY<zxxz@rocketmail.com> if you haven't done so yet. It's called TEAMWORK! :>))
