KL,

What is so great is that DCI paid about $1.5 million for for the entire CardCall company. If they were able to get $9 million for the UK distribution rights then I would not be surprised to see them sell the Canadian rights for a large group of dollars. I will be very interested in looking at the 8-k to see if it contains a hint of where Joe will place the $9 million. I know the Privlege Card division has big plans that will require several million and its got the potential to generate lots of cash flow.

By clearing off all of the goodwill now, the EPS in future quarters will only be stronger. I felt all along that these press releases would give us the direction of the company for the next several years. I'm sure there are other assets that could be sold with the cash put to better use. To me the future of DCI is in the Privelege Card Division, DCI UK and CyberFax. Joe has discussed in the past bringing CyberFax out as an IPO. This is really getting interesting.

Best Regards

Bear in mind only 1 Million is cash. see the following from the 8-k.

On October 28,1997, DCI Telecommunications, Inc. signed a definitive agreement with SmarTalk Teleservices, Inc. to sell its prepaid phone card distribution contract with D Services, a wholly owned subsidiary of W.H. Smith, for $9,000,000. DCI will receive $1,000,000 in cash at the closing and shares of SmarTalk common stock worth $8,000,000 based on the price of SmarTalk stock on the closing date. SmarTalk is listed on the NASDAQ.
