LAS VEGAS--(BUSINESS WIRE)--Nov. 15, 1997--OPTi, Inc.
(NASDAQ:OPTI) announced today that it is shipping the OPTiSound
82C933 chipset.
OPTi will be demonstrating these breakthrough audio technologies
in the QSound Booth No. M288 located on the upper level of the Sands
Convention Center. The OPTiSound 82C933 chipset combines 64-Voice
Wavetable Synthesizer, QXpander 3-D spatial from QSound Labs, QSoft
3-D positioning.
The OPTiSound 82C933 is an ideal ISA audio solution for desktop,
mobile, and embedded audio, internet gaming, and music composition
and synthesis applications requiring a high level of integration and
exceptional sound quality. It is a single chip Plug-and-Play ISA
audio processor that provides integrated 3-D audio that maintains
compatibility with the current installed base of legacy applications.
"These technologies represent the tangible demonstration of
convergence between the PC and the Home Theater/Entertainment
Electronics markets," said Patrick Ang, president of OPTi's
Multimedia Division. "Their incorporation into OPTiSound products
positions us well for our ultimate crossover from the classic PC
market into the new digital infrastructure for home electronics."
The 82C933 is an ideal building block for advanced audio
solutions. The MPU-401 port supports external MIDI devices such as
hardware wavetable and keyboard interfaces. One asynchronous I/O
port support Zoom Video, hardware wavetable, speaker phone, modem
interface, Digital CD-In, and DSP data.
The high level of integration of the OPTiSound family eliminates
the requirement for additional memory, codecs, 3-D, and most discrete
components, which minimizes the design effort as well as the total
cost of implementation.
Shipping in production quantities now. Pricing at $6.00 each for
50,000 quantity.

Nov. 25, 1997--OPTi Inc. (NASDAQ
NMS:OPTI) announces that it has signed an agreement to sell its Net Media group to Creative Technology Ltd. for $14,000,000 in cash plus warrants issued to Creative to purchase 200,000 shares of OPTi's common stock at a price of $10/share.

As part of the agreement, Creative will also acquire a license to certain of OPTi's core logic technologies. Also included in the deal is a commitment by OPTi to provide and by Creative to use certain of OPti's backend services including layout design, test services and failure analysis over the next twelve months for work related to the Net Media group, and a buy/sell arrangement for OPTi's universal serial bus controller.

"This agreement provides OPTi an attractive price for its Net Media business as well as for new business opportunities for both its backend services and peripheral product areas," said Jerry Chang, CEO and President.

"This transaction is consistent with OPTi's strategy of striving to maximize shareholder value.
OPTi has participated effectively in the net media area over the past four years and believes
that the market is beginning to consolidate. Finally, OPTi believes the warrants issued to
Creative can help establish a long-term business relationship between the two companies."

Subject to customary terms and conditions, the agreement is expected to close today.
