Got the vote thing today, does it say anywhere exactly who and how many each get these options? If I can't have this info than I would have to say no. If they could say we are giving this new guy X amount of options as incentive or this long term guy that we want to keep happy X amount I might think about yes. I agree we have to keep new and old talent happy or we lose them plain and simple. I read somewhere that exceptional talent in the software industry can get a great wage anywhere they want, what keeps them is incentives like options. I also read there are headhunters always offering the exceptional talent incentives to jump ship,(jump ship--bad choice of words). If I can't have this info I have to agree with Redbird, NO. Not that my puny little vote means squat to anyone, but yes or no I am sending the thing.

Do all shareholders big and small get one of these vote things or do you have to own over a certain amount of shares to get one?

Whoa! Nice justification. That modem must be smoking with all the research you have done. I still think they could have provided a little more decription of the who/what/why pertaining to the addtional options. Anyway, the vote is one thing, the information you dug up is another. Thanks !!

Thanks for the briefing. I'm still voting NO on the options however.

It really doesn't matter because we don't even come close to having a voice on the matter. All of our shares add up to squat compared to Mr. Mobius, something.. Taylor. I voting just because I have the right, just like an election.

I agree with all your points. When I first saw the S-8 about 9 months ago I s*it my pants. I called up John and basically bitched and moaned about several items on my mind.

1) Options being filed at the time (2 million..WHY NOW???)
2) How many employees really working in Israel (Questionable and don't know why the company spent the shares to even go their unless the company was a friend of someone's...like (Mobius)Taylor??
3) Mention of how *hot* Ram Charger was at a recent convention when in fact they were simply including the disk with their goodie bag, not individuals asking for a sample etc.. (Spamming)
4) Shares outstanding etc..
5) Reg S. etc..

As a shareholder, we've seen our position dilute and the price move lower. I believe 2 million options is plenty for them. They still have a large percentage of ownership in the company. Let's focus on getting the earnings in and keeping them! That will increase their value.

I say *NO* to any further dilution now or in the future until we see some positive action in the stock. They better not blow that $1+ million in the bank too quickly!

Again thanks for the work! I'm just blowing off steam.

Garfield: As always, an excellent informative post. Let me see if I have this right. First, options have not been going to top managment, but to other employees. Second, they have been above the price of the stock at time of issue. Third, the options can not be cashed in for 3 or more years. This information helps me feel some better about our company, but does not change my mind about further dilution of our shares. I respect your opinion, and each person must decide for themselves. I believe it is in my best intrest as an investor to vote NO to the added options.

Very informative post, but duck anyway 'cause here comes a rib bone.

We've recently had a debenture redemption program that didn't, a Y2K soulution that wasn't, a EPS doubling that didn't, and hefty raises for all upper management. RP takes full responsibility for the 10K fiasco, but I take it on the chin with a buck seventy five stock price while he takes home another 3 grand a month. All this and the only information I've been able to get out of the VP of comm. is MANANA. My vote is not just no but hell no!

The only thing that would change my mind is for John Shaw to sing several octaves higher due to a minor surgical procedure.
