Kimberley. If reg S, they must file a disclosure notice 15 days after signing and getting the money. 30 days after that the shares are presented to the transfer agent to become free trading in the USA. Reg D??, I do not know.

Ttypically the buyer buys the shares at a discount from the actual market price on the day set for that purpose. The discount can vary from 5% tp 50%, depending on how desperate the buyer/sellers are. It has a lot to do with volume, volatility and fundamentals. That press release is a kiss of death for reg S. The market will expect it to go very low next week. Of course the shorts might hold it up along with the institutions.

Kim: I do not know if the financing is arranged, nor what is the meaning of 125% of market price of the stock for conversion. Is it fixed on the date of issue of the debenture or is it variable? We'll have to see the details, but they should usually be up on Edgar wwithin days of the filing and within two weeks of the transaction.

Monday wil be interesting. I am starting to wonder if it will qualify as a candidate into the Hall of the Multihorned Table?
