I believe I said I understand your point about the "future". You posted your post yesterday as an argument to where the shares are coming from, and Riley knows this and as an argument to why Riley's numbers are off. For the current time, the amounts listed in your post actually have little bearing on the squeeze. How Morgan handles satisfying the obligations does have a bearing. I had forgotten all of those things in the old filing, that's why they seemed so unfamiliar.

Now that I understand the non-significance of thee issues for the current time, I'm not sure why you and smartin were high fiving all over the place uesterday. You actually had me believing you found a current source of new shares. I'll assume that wasn't your intent.

Mr. Kugler,
It looks to me like the recent increase in the number outstanding
was due to fulfilling the Nelson International contract (300,000 + 300,000 = 600,000 x $2.50 =$1,500,000). Just speculation on my part, but possible. As for your numbers posted last night, there are things to be concerned with, but no more so than there were when I got into this circus. It would seem that the two big question marks are concerning the 2,000,000 share S-8 and the number of shares of non-affiliates. Both of these questions can not be answered today. They can be checked Monday with the related parties and rechecked when and if the 1997 10k is released. Looking at the dates it would appear that all acqusition transactions should be inconsequential with the exception of the upcoming and possibly the Nelson deal if not already settled. I can't remember the name of the company who's "holding period ends at the end of this month" but from current prices it would mean only absorbing 75,000 more shares. I would like to thank you for waking me up to the S-8 situation and the acquisition settlements. I would suggest all pay close attention weekly to the number of outstanding shares given by the TA. It would appear that if Riley's
numbers are correct he knows more than you can find out and I would like to know from whom he got his information and a better explanation on his number of restricted shares. Evidently the 2,000,000 is the key
since we are totally in the dark about it and that is a significant number of shares to consider. I understand that your 300,000 number that you were making a deal out of last night is a number that Morgan/Roland can receive and sell without having to report it therefor making the transaction in "stealth" mode. These 300,000 could be funneled thru the S-8. I don't neccesarily see a "scam" here as some folks were harping on last night however it is possible and your
scenario is highly possible. I have a feeling we won't know until the 10k comes out. Maybe Riley can give us better info. However I AM NOT SELLING MONDAY MORNING BASED ON THIS SCENARIO. I will however call the company. (and mabe some others if I can get phone numbers)
Sincerely,
Hraka
