Candle Stick, I just spoke with Dr. Martinez to clear up the misconceptions that are going on here on the board. I did not want to interrupt his weekend but felt that this must be addressed now and not later.

First, the offering is not available to the public and only to institutions. The shares are RESTRICTED and the institutions buying into it are long-term holders, so would likely hold on for more than the restriction on the shares. The offering should be over by mid-December.

Now, the reason why they are doing this now is because JMAR has a lot of promising technology that requires a lot more capital to bring to fruition. I think that given the uncertainties of the market, JMAR's board felt that it would be better to raise the money now rather than wait. Certainly there is no guarantee that the warrants in Feb would be excercised. They want to move ahead now on the emerging and high growth PPL areas. With the money in place by the end of 1997, JMAR can plan out in detail 1998's battle plan.

I got the sense also in my discussion that JMAR would play a larger role in the hard-drive industry over the coming year. Micro-machining could be a huge market, bigger than anything we can imagine. By pumping in money now, these things will happen much faster. I feel much better and very comfortable with this fund raising plan than I did before my phone call.

Lets look at the reverse side of this. What if JMAR did not raise the money now and launch their emerging technologies? What if market conditions worsened and the warrants were not excercised? Would you all be happier for these technologies to "Emerge" a year or two later, or would we like to see some action as soon as possible? I for one would rather take the sure thing. Raise the money now and move these technologies forward ASAP.

Its time to stop criticizing without knowing all the facts. I notice that this is what has happened on this board over the past couple of weeks. If you are impatient and a warrant holder, look to the stock for long-term potential. The warrants may still work out for you, but as with options investing, timing is everything. Not so if you own JMAR common stock. (Don't miss the boat).
