From Friday, November 21, 1997, CRSV Company Press Release: Carriage Services Announces Two Affiliations HOUSTON, Nov. 2l /PRNewswire/ -- Carriage Services, Inc. (Nasdaq: CRSV - news), announced today that it has completed its previously announced merger with Forest Lawn/Evergreen Management Corporation of Panama City, Florida which, through subsidiaries and affiliates, owns and operates three cemeteries and one funeral home in Panama City, Florida and funeral homes in Fort Walton Beach, Florida and Dothan, Alabama. These funeral homes and cemeteries are expected to perform 950 funerals and 500 interments annually. The two principal shareholders of Forest Lawn/Evergreen Management Corporation are Greg Brudnicki and Charles Kent, both of whom are remaining active in the business and have become significant shareholders of Carriage Services. Mr. Brudnicki will also be joining the Board of Directors of Carriage Services. Mark W. Duffey, President of Carriage Services, said, ''This affiliation with one of the finest funeral home and cemetery operations in the southeast will greatly expand our presence in the region. We are delighted to have individuals of Greg Brudnicki and Charles Kent's reputation and stature in the industry as significant shareholders and are pleased to have Greg join our Board.'' Greg Brudnicki and Charles Kent will also be active in expanding Carriage's southeast presence. Said Mr. Brudnicki, ''Charles Kent, our staff and I look forward to our continued involvement in the funeral home and cemetery business as operators of our companies and as shareholders of Carriage Services. This affiliation will also give us the resources to continue our expansion in the region supported by a strong financial partner.'' Thomas Pierce & Company acted as advisor in the transaction. The Company also announced that it has merged with John E. Day Funeral Home which operates four funeral homes in New Jersey that are expected to perform 715 funerals annually. This affiliation represents the Company's initial entry into the New Jersey market. The principal shareholder of John E. Day Funeral Home, Charles D. Sidun, will remain involved in the business and become active in expanding Carriage Services' presence in New Jersey. Charles Sidun's three brothers, Ted, Doug and Drew, will remain active and operate the business on a daily basis. Mr. Duffey said, ''We have been wanting to enter the New Jersey market for quite some time but hadn't found the right partners until we met the Sidun family. We believe that with their assistance we will be able to grow rapidly in this relatively unconsolidated state.''
