Edusoft, Heinley to Develop, Market Educational Software to Teach
Children English

Edusoft, a subsidiary of Degem Systems, announced the signing of a
memorandum of understanding with Heinley and Heinley, of Boston, USA, a
division of Thompson Enterprises (an international publishing company
with an annual turnover of more than $9 billion), for the development
and joint marketing of a new multimedia header series for the teaching
of English as a second language to children.

The memorandum of understanding will be replaced with a final agreement
between the sides no later than 1st February 1998. According to the
memorandum, the two companies agreed to cooperate on the development of
"English Kidc", a multimedia titles series for the teaching of English
as a second language to children between the ages of 5 and 12. The
headers will be developed both in a home version and in a school
version, using three dimensional animation, voice recognition and
Internet connection advanced technologies.

Series ownership will be divided between the companies according to the
investment each makes in the development. Edusoft expects its investment
to be 70% of the costs. The first CD in the series is expected to be
marketed by mid '98.

Heinley will market the product in the US and Edusoft will market it in
the rest of the world. The two companies will pay one another royalties
on sales.

Heinley and Heinley is one of the largest US publishers, specializing in
teaching foreign languages. The company is known in the US as the leader
in teaching English as a second language.

I think that the low volume and low price reflect the uncertainty associated with the equity sale by Degem. EDUSF is still not covered by any analyst. With good earnings and great potential for growth, one would expect some analysts to begin covering it with a buy recommendation. However, this is hard to do in face of the uncertainty concerning the equity sale.

I hope that the equity sale will be announced soon. There can be big moves after that.

seems there is some very good news from mexico.

Note they say the order will be delivered by the end of the year.
this could mean a good 4th Quarter!!!
