[why downgrade?]

just housekeeping, i guess. at this point, why would someone recommend buying the common? options seem the best way to play if you're thinking overbid.

after the sweetened WCOM bid for MCI, several houses upgraded MCI to Buy with a 12-month price target of $51. as that deal gets closer to closure and the spread shrinks, those analysts will likely downgrade MCI to Hold (or to their current WCOM rating).

To generate some sell orders from institutional clients? No commissions will result if big holders wait for the merger to close. Additionally, there no longer appears to be much upside for our financially-strapped heroes, so why not get on with life ?
