If I were an insider and I knew my company was going to be taken over and I wanted to sell some of my stock I would instead do this:

Use my stock as collateral and borrow the money. This way I would still be able to sell the stock at the takeover price and then pay off the loan. The interest on the loan would be nothing compared to my gain on the sale of the stock. Takeover...? what takeover? There is just too much competition in networking now to justify a takeover at the price needed to make it happen. At $40 a share the cost would be $8 billion. Who's willing to pay that.

Sure hope I am wrong.

gary i am adding #4 to the list of why the insider may sell, if you permit.

(4) the insider may not be privy to a deal, and thus can sell. depending on who is negotiating and the current state of the talks. not everyone is told every preliminary or current possible deal.

Gary,

What time frame would have to pass before you doubt the CPQ
interest in ASND? That is, if 1Q 98 comes and goes, and no
buyout (or CPQ does some other major purchase), would that
shoot a hole in your theory? Maybe sooner?

Just curious.
