Read it again, I think you have the way things work confused. They don't stand to gain anything by getting the shares at a lower price - matter of fact it would be more risky for them since they'd end up with more for the same amount of money. More shares does not equal more money.

There is no discount in this deal, it's not to their advantage to have the price lower.
It is however greatly to their advantage to have it higher.
