Daniel and Manny,

The general consensus (and TMF Edible's as well) at the RAIN boards at MF AOL is that RAIN will probably end up paying 5% interest or less on the Convertible Notes and will be able to invest it at an over 6% rate of return. Thus eanings will most likely be favorably impacted by this in the long run.

Everybody over there is wondering at the true motivations for the move as well and wish that some in depth clarification would be given by management rather than the mumbo jumbo in the S-3. There may very well be excellent reasons for this latest offering but unfortunately we shareholders are not privvy to them.
