"un-tendered shares"

The TI ad announcing the tender offer seemed pretty specific. Shares remaining outstanding after the merger is completed will turn into rights to receive $20 at any future date. i.e. the other incidentals of share ownership like a voice in corporate governance (vote)and proportionate ownership of anything just disappear.

Dissenter's Rights is a separate issue since the dissenter steps into an unattractive limbo. The proxy material should supply details but I have not received any yet.

Who has their proxy materials; have they been delivered to anyone?
