<<<I have not recieved the proxy info, but at least now I know the name of the Wholly Owned Subsidiary of TEXAS INSTRUMENTS which purchased Amati!

DSL ACQUISITION CORP

With a name like that it sounds like TI maybe looking for more DSL acquisitions. WHOS NEXT?>>>

Of course, many are speculating SSPIF is high on the list simply b/c Engibous included two companies in his Montgomery speech: Amati and Spectrum. I don't invest on buyout rumors and am hoping it's not true.

As for names, I do know Amati is working very hard to get their name associated with the product. "Amati Inside. . .???" :))

Cheers!

Pat

[off topic-8x8 videophone]

Hi Jim,

With all the shows you and others here have been to I would think you have had a chance to view the 8x8 ViaTV video conferencing product. If so, what were your impressions of it's performance and do you know of anyone who is curently using the device? I'm looking for first hand users to get some direct reaction. I tend to have problems with the testimonials on the product literature. My biggest question is " Why shouldn't I buy it?"

Thanks,
Ed...

[DSL Acquisition Corp]

Jim:

I wouldn't put too much stock in the legal entity TXN created to do the deal. The lawyers are charged with slapping together a legal shell which immediately dissolves once the deal is done. That's what DSL Acquisition is in this case. Probably no strategic significance here.

Best Regards,

Charlie

I talked with my broker (Ameritrade)today. The fee quoted was $25. As yet I haven't decided to tender my shares. I just talked to someone who said that if you don't tender your shares and the merger goes through you will still be offered $20 per share. TI wants all the shares for cash, that's the deal.
