The present drop in the stock is an indication of the dissaproval of such a merger.

True but the collapse in ORCL is a factor as well especially since a downgrade in ORCL sales hits BORL licence revenue as well.

It should concentrate on increasing earnings and stock appreciation.

As a shareholder I would have preferred that approach as well...Simply "milk the cow"...cut costs, J-Builder Version 2, etc.... but I guess Yocam sees the merger as a way of repositioning BORl from the $99 cardboard box outfit it used to be... I just hope he's right...

The market will have taken the Visigenic situation into account from the moment the deal was announced, regardless of when it is consummated.

What should be of concern to shareholders is the "damned if you do, damned if you don't" situation they will be faced with, should Visigenic's results for the quarter be in any way suspect. Should they vote against, and risk a "lack of longerm strategy" backlash, or for, and risk a "poor decision" tag? There may be a couple of lessons still to be learnt from last year's acquisition, I think.

Well, apparently the market agrees with you. Which, in my view, is all the more reason to support the acquisition. Seriously, this is a totally sensible acquisition. While there is all kinds of analysis that can be done, on the surface it looks perfect. VSGN is near its 1-year low at less than 1/3 of its 1-year high, and the target company's product line is complimentary with Borland's. Frankly, I think it is typical Wall Street not to know a good deal if it bit them on the butt.

Of course, as an optionholder, I'm still pissed. But I'll get over it. Had I not been so greedy, and followed my wife's wishes, I'd have sold my Jan '98 10s at about 2 1/4 or 2 1/2 the day before the announcement. I will have to face this consequence everyday for the rest of my life, after watching those calls expire worthless, and as she so dutifully reminds me on a daily basis what an idiot I was....
