At the same time, I think there are real dangers of losing key engineers. Eli fears this.
I wonder about this also, no matter which way the vote goes. Technical talent is very scarce in Israel now and I wonder if the NPS team feels betrayed by Eli just as they were on the verge of success. If they held any significant shares or unexercised options, I doubt they're very happy with the $25.50 offer. MLNX must be promising some sort of compensating options. Too bad us share/bagholders will not be afforded the same!

Are there any EZCH employees here who can tell us what they think of the merger?

I think Gilder's words say it all. He speaks like he either spoke with Eli personally, or with a close confidant. Waldman sounds like a persuasive, talented and tough minded man. Eli may have already tried to discuss this with him and it went no where. Waldman knows he is making an outstanding deal and will wait to see if the vote succeeds, staying low key and out of the fray. If it fails, he may let shareholders squirm for awhile, but will then increase his bid to secure the purchase. He is very close to the prize(NPS), no way he lets it go over a few dollars.
