Hello! Dave,

Your last posting contribution, provided some interesting points to ponder! Thanks!

Your observation of the " pure and good spirit!" on this CVIA thread, was well put!--------And I believe will provide a "signal" to many CVIA Thread Participants, to carry those thoughts with them into 1998!

Sorry! To ALL! I ran out of time on my posting # 1396 and therefore was unable to make all the revisions/corrections that I wanted to before it was posted! ( I was concerned about my spelling and gramatical miscues, SO! I decided to do something about my concern and took some action! Said ,"I was sorry!"----and now I can move forward with no longer feeling concerned ! At least about that issue! ( All Right! All Right! I'll "STOP" with the "Concerned" bit already!).

Best Regards,

Wayne J.

TO: ALL CVIA SHAREHOLDERS AND THREAD PARTICIPANTS!

There has recently been some mention on this thread of "UFH' !

In efforts to better understand what role ( if any?) that "UFH" could play in the CVIA merger process I requested some input /feedback from Jack Arnold!

In addition, I also asked questions of Jack Arnold regarding areas such as , "when we could expect the next press release,-----if we as CVIA Shareholders bought our shares after December 15th., 1997, could we still send in our Shareholder Consent form ,and have the share vote count towards the merger approval, etc.????)

Here is the feedback/response that I received from Jack Arnold!
( Please come to your own conclusions! I am in no way trying to influence your impression of the CVIA situation/scenario in any way !
All I am doing is sharing with this thread, what I have been made aware of today!)

Here is the response from Jack Arnold:

"Dear Wayne, they apparently do not have that many shares at this time. I do not know how much they have decreased their position, but it has significantly reduced. I do not believe I can legally respond to whether they back our merger or not, other than to say the response from shareholders has been overwhelmingly in favor of our efforts."

" I anticipate we will have a press release around the middle of January ( subject to change), but I cannot comment as to content other than it should be positive. As merger proceedings progress and are finalized, the new management will have more of a say on release information dates, and I will move more into the investor relations position."

" Unfortunately, we cannot use shares purchased after the 15th., but I appreciate the support of your efforts." ( This ends! The response from Jack Arnold!)

I also questioned Jack Arnold if he was responding to all Shareholder communication? He advised me that he tries to respond to all questions in a timely manner!

Some Observations!

#1. The fact that the shareholder consent form date for shares on record was December 15th. ,1997, does any one think/feel that this merger has /is moving along faster than some of us expected or anticipated?

#2. This is just my own opinion, but when Jack advised that the new management will have more of a say on release information and dates, certainly caught my attention! ( My sense is that there is a good merger momentum happening, and I'm hoping that the mid January ( projected, Subject to Change news Release!) contains more specific details!).

#3. My sense is that Jack Arnold is in no way attempting to hide or shy away from responding or answering any CVIA Shareholder questions/concerns! ( This is just my own personal opinion, determined from my own personal experiences , in regular and constant communication with Jack Arnold! From the standpoint as an interested shareholder!---------Other CVIA Shareholders may have reasons to agree or think otherwise depending on their own personal situation!)---------I felt it necessary to express this point, regarding my personal feeling regarding Jack Arnold's ability /efforts to communicate with the CVIA Shareholders!-----------My advise ( as previously shared on other CVIA postings is!----If you are attempting to contact or communicate with any company representative from any company ( including CVIA!)----and do not feel that you are being taken seriously, or feel that the response or turnaround time is unacceptable for your requirements!------Then be persistent! Send, Send, and Resend, your communication and questions!---------At least the possability of lost in the mail, lost in Cyberspace, lost in the fax scenario/excuses will be removed, and as a minimum you will at least have another part of you research , DD, completed! ( What you think of a Companies Shareholder Communication efforts!).

Sorry! For The Lecture! ( I have to "STOP!" now because I just fell of this "SOAP BOX!" "OUCH!!!!!).

Best Regards,

Wayne J.
