I have asked that same question here many times with no reply. It would appear that the connection for the cash is Puhr's.

It would appear the only thing RMCW didn't enjoy prior to the merger is being a public entity, to provide liquidity to RMCW shareholders. I believe it was probably attempted with PRTI and somehow never happened.

It essentially allows RMCW to have a public market for their stock. But we don't get to see a prospectus first. The financials will have to deal with the disclosure issue on RMCW.
