The company was concerned with the appearance of impropriety in counting shares as voting aye (which is your vote if you don't vote) on the proposals when shareholders received their proxies so close to the date of the meeting, so the vote was rescheduled.

My opinion is that a scam company would not have rescheduled the vote.
