Currently the TBRL price is a little over 6.00... The Snipit from the news article below says TBRL shareholders will get at least 7.34... So, if you want to treat this as an Arbitrage situation, you might pick up about 1.30 when the deal closes... The big spread between the current TBRL price and the minimum price TBRL shareholders will receive hints at market dissatisfaction with the deal...

GBFC and TBRL said they collared the exchange ratio between $12.875 and $8.875 per GBFC share. The adjustment factor is designed to insure that the market value of the shares of GBFC to be issued to TBRL's shareholders is neither less than $7.34 nor more than $10.66 per TBRL common share. The value of GBFC's stock will be determined based on the average per share closing price of GBFC common during the 10-day trading period ending on the second business day prior to the closing.
