Hank,

First, the fact that RAIN is going to be a penny or two short this quarter doesn't bother me. It's no big deal. The comps being off 11% on the oldest three units is more worrisome but then two of thosw are in the Chicago area and probably lost some business to River North. If MOA is down comps its the first time in a long long time.

At any rate I don't think Xmas time is a good season for eatertainment. I sure never find time to eat a leisurely meal at a mall when I'm Xmas shopping. I don't knbow bout anybody else. Nor is dashing through the Rainforest a well know Yuletide theme. The announcement by itself is no big deal.

What is a big deal is announcing that you're comfortable with earning and then within a month saying you will not make earnings. Further I resent finding information in analysts report that is not available to me about same store sales in Oct and Nov. It breaks down my trust in management. Besides which it is legally actionable behavior.

So enough is enough. Time for that new COO and Pres, Hank. Communications at RAIN have not been shareholder friendly since O'Dowd left. But the communications from the company in the last few months strikes me as bizarre. So after this earnings conference call I plan on communicating my lack of confidence in management every chance I get unless the situation is corrected by then. Day to day operations are going well. the actual physical expansion in 1997 very extremeely well And I think the concept still has alot of legs. It just doesn't have a good brain at the moment. RAIN lists as a risk the fact that its CEO is only there 23% of the time and its acting President has no restaurant experience. You don't see too many apprentice jockeys riding the favorites in the Kentucky Derby. Know what I mean.

However if they do name a topnotch Pres then I agree with you completely. Paticularly about the convertibles. They seem to me a wise investment with the ultimate cost to our economy of the Asian deflation being a huge unknown.

Anyway, hope I'm wrong and your right but I doubt it. Good trading!!

Regards,
Dennis
