TL, can you show me in the rules where it says the financials must be audited? All I can recall seeing is that there must be current financials - don't remember seeing that they must be audited. Is it true that the NASD says the filings must be from sometime within the past 18 months?

Edited: I just called and spoke with Lori. She said that per the NASD compliance dept. the filing must be one from within the past 18 months.

I called the OTC department of NASD today at (202) 728-8477 and asked what the filing requirements would be for a Reporting Company, that had been halted, to begin trading again. I did not identify the company I was asking about, but asked it as a general question. I was given a different answer than I had been given in the past. Previously I had been told that all 10K's and 10Q's had to be brought current. Today I was told that only unaudited financial statements for the last two years are required. I was told that the compliance officer assigned would look at the reasons for the trading halt and could subjectively require more information to be filed.
