Sorry everyone, I goofed up the numbers.
Brad, thanks for catching it.

Revenue is 3.5 mil, earnings 10-15%. I had "remembered" 2.5-3.5 mil, and 10%, and based from that. I'll look up any numbers I post in the
future just before I submit them to check.

I don't know how I did this, 'cause I _had the DLJ window open and
on my screen when I typed my previous post_. In any case, I used
the "all industries" PE which is actually 20.06. Again, you're right
that the tire industry is slightly higher:
auto parts and equipment 20.50
retail discounters 25.37
retail general 33.75
trucks and parts: 21.93

This does make the numbers look better. I was trying to take a
worst case approach anyways though.

I appreciate the feedback.

TO: ALL CVIA SHAREHOLDERS AND THREAD PARTICIPANTS!

I just completed quite a lengthy telephone discussion with Jack Arnold! ( I'm hoping in the future they get a 1-800#?)

I will attempt to be brief and to the point! But! Everyone! Please understand, that I didn't tape the conversation, ---so as always!-----
---Please take my shared opinions as just that ! My personal opinions!

Here is a recap of the points from my telephone discussion today with Jack Arnold! ( If and when Jack happens to read this posting and feels that I have shared some information out of turn, out of context, or I have misunderstood what Jack was trying to tell me in today's telephone discussion! Then ! I invite Jack to contact me immediately if any points of information/dialogue needs to be re-addressed or clarified!) Thank You In Advance Jack!

Point #1.--Jack clearly stated that he has been releasing any/all information via news releases regarding the CVIA merger and acquisitions, to the best of his ability, and only when he felt that the timing and details were all within the reporting guidelines available to him as a Management representative of CVIA!

Point #2.-- He reinforced the fact that as time allows him! He reads all the postings on the CVIA Thread! And the information on the CVIA Shareholder's Webb Site! ( He did mention a high regard and praise for all the efforts of the CVIA Shareholder and Thread Team! But! He made special mention about MILK, D LEE and BRAD, as Thread Participants that appeared to have a good handle on the CVIA Developments--given the fact that they are not privy to all the details!)

Point #3-- He was very impressed that the Shareholder Webb Site, is receiving posting, questions and responses, from both S.I. Members and Non-S.I. Members!--He also eluded to the significant time and research that was being dedicated by all particpants! In efforts to help one another look at the possible answers, solutions, responses, ----and allowing him the additional freed up time to work on the CVIA Merger/Acquisition efforts!

Point #4--He realized that the announcement of the REG S would bring some temporary disappointment from current CVIA Shareholders!
However! He did indicate that it addressed the current financial needs to continue to keep CVIA moving in a forward/positive direction!

Although he admitted that it would not have personally been his first choice either! It did fill an immediate need/requirement!

The positive results from the REG S provides an immediate and swift influx of much needed funds!

Yes! It is his guess that it may very well have a short term affect on the trading and share price pattern of CVIA! But ! That whatever the result of the REG S scenario turns out to be! He feels it should happen very swiftly!

By this I understood him to mean! Preferably he is hoping that a U.S Group purchases the REG S from the current purchaser's that have just paid CVIA $500,000.!!! ( I might add that it's 1/2 a million $$ more than we had last week!---Sounds much bettor to me than "ZERO $$"

Any way Jack felt somewhat confident that a private group of investors might purchase the REG S before it hits the trading block!

He did agree that he felt if the current purchasers of the REG S were still holding around the 41 day "hold period" ( Just my guess!) --that he felt that they were not a group that would hold for the long term!

( Basically he summarized by indicating that this purchase of the REG S was fullfilling a need for both parties!)

In my opinion Jack was competely open and honest and straight forward! When addressing the REG S issue/concerns!

He did indicate that he hoped that this would be the last time ever that CVIA would have to consider such a financing avenue!

Then he went on to indicate, that over the last few months ! Time has not been on the side of CVIA!--Thus a need to make difficult decisions and specific actions were required to keep the future alive for CVIA and the shareholders that have decided to stick it out through the "Thick and Thin".

A final comment about the REG S scenario! It is my understanding that an 8K REG S SEC Form has been or is in the process of being completed and being submitted to SEC for filing! ( Jack indicated that he imagined that it would be made public for all to see once the SEC reviews it and makes it's decision!) ---He mentioned that we should keep an eye out on EDGAR! As the information may be available at some point in the near future! ( Of course subjet to change/revision!)

WOW! So! This is what I meant by a "point form " summary!

I will take a short break! Give you a chance to "digest" the top four points! Give you a chance to go out and get yourself some "Popcorn" and other "Refreshments!" And I will continue with

Well! I'm back again! Let's continue with the next Point #5. which highlights some information or thoughts from a conversation that I had with Jack Arnold earlier today!

( Sorry! It took me so long to get back on the thread! I seem to be able to get access to everything except the S.I. Thread). -STRANGE!

POINT #5.-- Earlier in the week I ( Wayne J) suggested that we could possibly expect to hear more significant details about the merger/acquisition, etc! And even though CVIA issued a press/news release this week! The one that I was eluding to ( in my opinion!) is still yet to come and should prove to be more informative and provide more details and data, regarding the new Management, Board of Directors, etc!!!! ( I believe my original time estimate was somewhere around the end of February, 1998!)

However! Jack Arnold advised today that he is expecting a very informative and detailed planning and goal setting session/meeting to take place ( hopefully before the end of January, 1998!)----and then in turn ( providing all the items on the Director's Metting Agenda get covered/addressed) --he expects that a news release could be issued before the end of January, 1998!------And before we get all excited! I would suggest that we give Jack a few working days to recap the meeting activites, --so in turn he can provide us with the most meaningful/detailed news update possible!

Jack indicated to me today that he felt that progress is continuing on a faster track than he initially thought possible!--Thus the revision in my estimated expected time frame to receive a detailed news release approximately 1 month earlier than originally planned/communicated!

So in a nut shell! I am of the opinion that what ever time frame it takes to get CVIA on the right track! It would appear that we are about 30 days closer than initially expected!

So! It would appear that within the next 13 Business Days! We should be receiving some informative/detailed news surrounding the CVIA Merger/Acquisition Scenario! ( Just my speculative opinion!)

POINT #6. ----Since my earlier discussion with Jack today! He has since informed me/us that CVIA is currently talking/negotiating with a potential investor about buying out the REG. S people/group! ( But! Did indicate that this was not a sure thing at this time!)

POINT #6.--- Jack also advised that after/once CVIA issolidly back on track, that CVIA will be putting together a case against the previous administration. He did indicate that it was imperative, however, that we get the CVIA ship going forward first!

POINT #7.---Jack indicated that he would be looking to the "CVIA SHAREHOLDER"S CALL TO ACTION TEAM!" to submit their approval with issues that would be relating to decisions made after the merger with WOTD. He indicated that he was trying to keep an updated list of shareholders so it will be less time consuming and less expensive when he would need to contact the CVIA Shareholders in a hurray , at some point in the future!

POINT #8.---He indicated that the addition of 50 Million shares ( which was announced on the recent press release!) is allowed as a necessary move to finish the merger of CVIA and WOTD and is therefore covered under the first consent form that was presented!

In closing! My sense is that there are going to be some talented and experienced individuals that are going to be on the CVIA/WOTD Management and Board of Directors! Jack sounded extremely excited and enthusiastic about the New Management Team members that would be assembled at the next meeting!

It's only my opinion! But! My hunch is that when Jack has some additional " Warrior's" standing by his side on the Management Team,----the previous CVIA administration, that apparently deserted the company and it's shareholders might just be looking over their shoulders--at some point in the near future!

Well That's All I have For Now!!!

By the way! Thank you for the compliment! But! I am sad to say that I am just plain old Wayne J.-----Not! Jack Arnold!!! ( In fact I stand a bettor chance of being "BATMAN" than Jack!) You couldn't pay me enough to trade places with him!!!----His is a thankless job!--But! Keep in mind that I also think he demonstrates Great Courage and Leadership!----In my own opinion! He has very discretly, and without fan fare built quite a dynamic team on the CVIA Thread!
