I'm still recovering from a bad case of the flu and so just discovered last night that there is considerable concern about the possibility that TASA may be delisted from NASDAQ.

I have spent last night and this morning looking at the limited amount of information that is available about the new listing requirements, the manner in which they will be initially implemented, and the process for appeal by a listed company. I have come to the conclusion that this new ruling is unlikely to affect TASA on February 23rd or for some time thereafter, if at all.

I will post a more complete write-up on The Napeague Letter web site later today, as soon as I get it finished, and I will also try to post it here and elsewhere on the net.

Current Nasdaq Listing Requirements

The Nasdaq SmallCap Listing Requirements

The current amendments to The Nasdaq Stock Market listing requirements, which were approved by The U.S. Securities and Exchange Commission on August 22nd, further strengthen both the quantitative and qualitative requirements for issuers listing on Nasdaqr. For the first time, corporate governance requirements applicable to the Nasdaq National Market will extend to The Nasdaq SmallCap Market. These changes materially enhance the threshold criteria necessary to qualify for listing on The Nasdaq SmallCap Market.

Nasdaq believes that the new requirements will further the protection of investors while enhancing the quality of The Nasdaq Stock Market. Companies failing to satisfy the new continued listing requirements will be allowed until February 23, 1998 to meet the new requirements. Companies should initiate appropriate corporate action necessary to achieve full compliance by February 23, 1998.
