The actual terms of the offering will only be known when the S-1 is declared Effective. It has been withdrawn and I believe it needs to be refiled. Then the SEC will review it and they usually have questions to which the Company must respond....there may be multiple Q&A rounds before an Effective declaration is made.

I don't know wtf they're doing at this point and I don't think they do either.

The quoted letter suggests that Maxim walked away:

NNVC says that Aegis stepped in to replace them. They have not made a new S-1 filing to show that and the one that they did make, as mentioned, they withdrew.

There essentially is no financing or even an offering in place.

Except the company (NNVC) has no more life than Edgar Bergen's two friends Charlie McCarthy and Mortimer Snerd.
