Christopher, why did you wait until a day before the shareholders' meeting to make your offer? Certainly you can't expect the big shareholders to be thrilled with your last-minute move, unless you were counting on widespread dissatisfaction with the IXC deal.

So, can you come up with $25 a share? I'm sure PSIX would be more receptive.

Mr. McCleary:

A friend of mine had spoken to you extensively the evening before the meeting where you had indicated your intentions to attend. When you didn't speak up, he assumed you weren't there. My apologies for inferring "flakiness" on your part. Still, given the gravity of the decision and the apparent seriousness of your intent, I'm still a bit mystified by your silence.

My experience has been that the PSINet shareholders are a pretty passive bunch, kind of willing dilutees to Shrader's pronouncements. An informed contrarian might have gotten the juices flowing a bit.
