Mo...Bruce Francis says/inferred that it may slow down CPQ's ability to grow and that it "may no longer be the lean mean fighting machine" that it has been as it moves on with DEC under its wing, so soon after taking on Tandem. Generally however, I thought that the Francis spin was positive. DEC is trading 8 1/2 points higher in London. Stephen

- I AM WONDERING IF THE DEAL IS CREATIVE FROM THE START ? MY MATH SAYS THEY PAID SIXTY DOLLARS PER SHARE FOR A COMPANY THAT EARN TWO HUNDRED AND SIXTEEN MILLION LAST YEAR !

1) THE PLUSES ARE THEY GET THE SERVER & ENTERPRISE BUSINESS THAT DEC HAS + ALSO THERE SMALL PC BUSINESS

2) ALSO THE CASH SETTLEMENT DEC HAD WITH INTEL FOR CHEAPER COSTS FOR CHIPS THE NEXT SIX YEARS

3) THE NEGATIVE'S WILL BE THE CULTURE CLASH + THE LAYOFF'S THAT WILL BE FORTHCOMING BECAUSE DEC HAS A BLOATED WORFORCE COMPARED TO CPQ

Digital Equip Holders To Get $30 Cash, 0.945 Compaq Shrs

NEW YORK (Dow Jones)--Compaq Computer Corp. (CPQ) entered a definitive agreement to acquire Digital Equipment Corp. (DEC) in a transaction valued at $9.6 billion.

Under the terms of the transaction, shareholders of Digital will receive $30 in cash and about 0.945 a common share of Compaq for each share of Digital stock. Compaq will issue about 150 million common shares and $4.8 billion of cash.

The stock of NYSE-listed Compaq closed Friday at 31 3/4, up 5/8. Digital's NYSE-listed shares closed Friday at 45 7/16, up 1/2.
