I agree he either gets a salary as an employee and performs as such or if he is truly a director (and chairman) his compensation is too high.

I am a director of two different companies. One public one private. The public company pays me a fixed fee (assuming I make it to a min. number of meetings) as well as 5K to 10K share options in the company which has a similar price and revenue as AB&G. The fixed fee is in the low 5 figures. With 110K shares if the price of the stock goes up $1.00 his compensation is $110K I think this is excessive for someone not inside the day to day operations. I think the following question should be added to the list.

"Who determines exec and board compensation (is there a committee) and has any outside consultants looked at this issue"

How are the outside directors to be chosen?
