Hi! The reason I said we could assume that this was a payroll tax
problem is because they would not be personally liable if it wasn't.
According to my Dad (CPA) this happens all the time and it is the
only time that the officers of a corporation can be held personally
liable for the debts of the corporation. It falls upon any officer
who had the authority to pay the taxes and didn't.

So, either my Dad is missing something or that is exactly what happened.
