[ Business | US Market | Industry | IPO | S&P | International | PRNews | BizWire | Finance Home ] Friday January 30, 7:28 am Eastern Time Company Press Release Curtis Mathes Officially Becomes uniView Technologies Corporation Stockholders Approve Name Change at Special Meeting DALLAS--(BUSINESS WIRE)--Jan. 30, 1996)--Shareholders of the previously named Curtis Mathes Holding Corporation (NASDAQ:UVEW - news) agreed to change the company name to uniView Technologies Corporation at a special stockholders meeting held yesterday at the company's headquarters in Dallas. Shareholder approval of the new name comes shortly after uniView Technologies Corp. announced its plans to restructure as part of the company's planned evolution from a consumer electronics company to an advanced technology designer, developer and service provider. ''The shareholder vote reflects their understanding that a multitude of applications outside consumer electronics are possible for our uniView(tm) set-top box technology,'' said Patrick A. Custer, president and CEO of uniView Technologies Corp. ''With medical and education applications already developed, we are positioned to capitalize on other opportunities in the home, banking, home office and hospitality industries, among others. We are bringing convergence solutions to companies that are looking for the right set-top box to meet all their customer demands. Under the new name and organization, a new Technologies Division will contain the uniView and uniView Xpressway(tm) technology, and a new Curtis Mathes Division will contain the Curtis Mathes brand name, and will concentrate on strategic alternatives designed to maximize its return on the name. Under the uniView Technologies umbrella the company will continue the development and implementation of innovative hardware technologies and solutions that can be licensed to other companies. By combining its hardware solutions with technology expertise from the uniView Xpressway, the company becomes the first in the industry to provide an end-to-end solution tailored for specific needs and requirements. At the special meeting, shareholders also authorized the board of directors to implement a 10 to 1 reverse stock split of the company's shares. Timing of the actual implementation of the reverse has not been determined as of this date. ''One reason for the reverse stock split is to ensure compliance with recently amended listing criteria for the NASDAQ Market which now requires, among other things, a $1.00 minimum bid price for continued listing,'' said Custer. Dallas-based uniView Technologies Corp. is an electronics engineering design and marketing company which has established an advanced standard for connectivity to Internet appliances by adopting leading technology from Sun Microsystems, Inc., MCI Telecommunications Corp., and Cisco Systems, Inc. It also has developed proprietary software enabling users to access the unique features of uniView.
